These Terms & Conditions govern your use of the sk21.tech website and the services provided by SK21 S.A. By accessing this website or engaging SK21 S.A. for services, you agree to these terms.
Services
SK21 S.A. provides software development, AI consulting, cloud architecture, DevOps, technical strategy, and code review services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written Statement of Work (SOW) or service agreement signed by both parties.
Engagements and payment
Engagements are governed by the terms of the applicable SOW. Unless otherwise agreed in writing, invoices are due within 14 days of issuance. SK21 S.A. reserves the right to pause work on active engagements where invoices are more than 7 days overdue. Late payments may be subject to interest at 1.5% per month.
Intellectual property
Upon receipt of full payment for a project, all custom work product created specifically for the client transfers to the client. SK21 S.A. retains ownership of preexisting tools, libraries, frameworks, and any general purpose code or expertise developed outside the scope of the engagement. Nothing in these terms restricts SK21 S.A. from using skills, knowledge, and experience gained during an engagement for future projects.
Confidentiality
Both parties agree to keep confidential any non public information disclosed during an engagement that is designated as confidential or that a reasonable person would understand to be confidential. This obligation survives the termination of any engagement for a period of three years. Confidential information does not include information that is or becomes publicly known through no breach of this agreement.
Limitation of liability
To the maximum extent permitted by applicable law, SK21 S.A.'s total liability for any claim arising out of or related to services provided shall not exceed the total fees paid by the client in the three months preceding the claim. SK21 S.A. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, even if advised of the possibility of such damages.

Governing law

We may update these Terms & Conditions from time to time. The effective date at the top reflects the most recent revision. For active engagements, we will notify clients of any material changes.
